Agreement to Terms
Legally Binding Contract
By accessing and using Bilti Menutzach's web properties, client APIs, or licensed software (including MarketMeld, SmartMusika POS, BluCross Capital, Scholarbase, FabricFlo), you agree to be bound by these Terms of Service and applicable international and Zimbabwean digital commerce laws.
01 Description of Services
Custom Software Engineering
Architecture, web, mobile, and distributed backend development with full database integration.
Enterprise Automation Consulting
Legacy workflow replacement, paperwork elimination, and business optimization.
Cloud Hosting & Uptime SLAs
Managed Linux/ASGI hosting infrastructure, automated SSL, and dual-node failover.
Mobile & Cross-Platform Apps
Native iOS & Android development with Flutter, React Native, and offline-tolerant synchronization.
Client Responsibilities
- Provide accurate registration and KYC verification data.
- Maintain confidentiality of master API keys and passwords.
- Pay agreed milestone invoices according to project schedules.
- Abide by ethical data protection and fair usage policies.
Prohibited Activities
- Reverse engineering or decompiling proprietary core engines.
- Automated scraping, DDoS attacks, or vulnerability fuzzing.
- Transmitting malicious payloads or deceptive spam content.
- Impersonating other companies or system administrators.
03 Intellectual Property & Billing
Custom Development: Upon receipt of full milestone payment, custom client codebases and user data belong entirely to the client. Pre-existing proprietary modules, shared mesh libraries, and core Bilti engine microservices remain the exclusive intellectual property of Bilti Menutzach.
Invoicing & Currencies: Standard contracts are denominated in United States Dollars (USD) or prevailing official currency as stipulated in specific Statements of Work (SOW). Late payments past 30 days may trigger temporary service suspension on cloud endpoints.
04 Service Availability & Jurisdiction
99.99% Availability Goal
While we architect all services with dual-hub redundancy, scheduled maintenance windows are announced at least 48 hours in advance during off-peak hours.
Governing Law
These terms are governed by the laws of Zimbabwe and South Africa. Disputes shall be resolved through binding commercial arbitration in Zimbabwe and South Africa.
